Terms of engagement
Last updated 2 October 2026
These are the standard terms Nyoni works on. Every project also has a written quote that sets out its scope, price and timeline. If the quote and these terms disagree, the quote wins. Using the website itself is covered in the short section at the end.
1. Quotes and agreement
Quotes are valid for 30 days. A project starts when you accept the quote in writing (email or WhatsApp is fine) and the first payment clears. The quote describes what’s included; anything not described is outside the scope and will be quoted separately before any work is done.
2. Payment
- Projects under KES 50,000 are paid in full before work starts.
- Projects from KES 50,000 are paid 50% upfront and 50% before launch or delivery of final files.
- Projects from KES 300,000 are paid 40% upfront, 30% on design approval and 30% before launch.
- Care plans are paid monthly in advance, with a three-month minimum and 30 days’ notice to cancel after that.
- Invoices are due within 14 days. If a payment is more than 7 days late, work pauses until it’s received, and the timeline moves accordingly.
- Prices exclude VAT. Third-party costs (hosting, domains, stock images, plugins, printing, voice-over, translation) are charged at cost or paid by you directly.
3. Your responsibilities
You agree to provide content, feedback and approvals by the dates agreed in the project plan, and to confirm that you have the right to use any material you supply (text, photos, logos, data). If your content or feedback is late, the timeline moves by the same amount. If a project is paused by you for more than 60 days, Nyoni may invoice for work completed and schedule the rest as a new project.
4. Revisions
Each package includes a set number of revision rounds. A round is one consolidated set of feedback on a stage of work. Additional rounds, or changes after a stage has been approved, are charged at the rates on the pricing page, and agreed with you before they start.
5. Ownership and rights
Once you’ve paid in full, you own the final deliverables: the final logo artwork, website code and content created for you, documents and their source files. Until then, Nyoni retains ownership. Domain names and hosting accounts are registered in your organisation’s name.
Nyoni keeps the right to reuse its general tools, code libraries and know-how that weren’t created specifically for you. Fonts, stock images and software components are licensed under their own terms, which will be passed on to you.
Nyoni may show the finished work in its portfolio and mention you as a client, unless you ask otherwise in writing. Concept and rejected design directions remain Nyoni’s property.
6. Confidentiality
Nyoni keeps your confidential information private, uses it only for your project, and will sign your non-disclosure agreement on request. Personal data is handled as described in the privacy policy.
7. Use of AI tools
Nyoni uses AI tools for research, drafting and code. All work is reviewed and finished by Nyoni, and confidential material is not used to train AI models. Logos and illustrations are original work, not generated. If your organisation has rules about AI use, tell Nyoni and they’ll be followed.
8. Warranty and support
For 30 days after launch, Nyoni fixes defects in websites it built at no charge. A defect is something that doesn’t work as agreed; it doesn’t include new features, changes in content, or problems caused by someone else changing the code or hosting. After 30 days, support is available through a Care plan or at the day rate.
9. Liability
Nyoni takes care to deliver work that’s accurate and works as agreed, but can’t guarantee results such as search rankings, sales or donations. Nyoni isn’t responsible for losses caused by third-party services (hosting outages, payment gateways, email providers). To the extent the law allows, Nyoni’s total liability for any project is limited to the amount you paid for it.
10. Cancellation
Either side can end a project in writing. Deposits are non-refundable once work has started, and completed stages are billable. On cancellation, you receive the work completed and paid for.
11. Law and disputes
These terms are governed by the laws of Kenya. If there’s a disagreement, we’ll first try to resolve it by talking. If that fails, either side may refer it to mediation before going to the courts of Kenya.
12. Using this website
The content of this website, including text, design and the Nyoni logo, belongs to Nyoni unless otherwise stated, and may not be copied for commercial use without permission. Photographs credited to other photographers are used under their licences. Concept projects in the Work section are self-initiated and use fictional organisations; any resemblance to real organisations is unintended.
